01About these terms

These terms apply when you use nexzem.com or any service or product from Nexzem Technologies, First Floor, Prabhu Darshan Tower, Harrawala, Haridwar Road, Dehradun, Uttarakhand 248005, India. By using our website or services you agree to these terms. If you do not agree, please do not use them.

Custom IT services and projects are governed by a separate written agreement, proposal or statement of work (SOW). If that agreement conflicts with these terms, the agreement wins.

02Using our website

You may use our website for lawful purposes only. You must not try to break, overload or gain unauthorised access to the site, copy its content for commercial use without permission, or use it to send spam or harmful code. Content on the website is for general information and may change without notice.

03Intellectual property

Unless agreed otherwise in writing:

• Client deliverables: once you have paid in full, you own the custom deliverables created for you, as set out in your agreement or SOW.
• Nexzem products and tools: NexEats, NexChat, NexEduHub, NexCall, our website, brand, and any pre-existing code, libraries, frameworks and know-how remain the property of Nexzem. Where these are part of a deliverable, you get a licence to use them as described in your agreement.
• Third-party and open source components stay under their own licences.
• Your content: you keep ownership of the data and content you upload to our products. You give us permission to host and process it only to provide the service.

04SaaS subscriptions

Our products are offered on subscription plans billed monthly or annually as shown at signup or in your order. Subscriptions renew automatically until cancelled. You are responsible for keeping your login details safe and for all activity under your account.

We work to keep our products available and secure, but we may carry out maintenance, make updates, or change features. If we make a change that materially reduces what you paid for, we will give you reasonable notice. We may revise prices with advance notice, effective from your next billing cycle.

05Acceptable use

You must use our services lawfully and responsibly. In particular, you must not:

• Send spam, unsolicited bulk messages, or illegal, misleading or harmful content.
• Use NexChat in breach of the WhatsApp Business Terms, the WhatsApp Business and Commerce Policies, or other Meta policies, including messaging users who have not opted in.
• Use NexCall in breach of telecom rules, including TRAI regulations on unsolicited commercial communication, the National Customer Preference Register (DND) rules, and calling time restrictions.
• Record or transcribe calls without giving any notice or getting any consent required by law.
• Collect or process personal data without a lawful basis, or upload data you have no right to share.
• Try to reverse engineer, resell, or disrupt our products, or access accounts or data that are not yours.

06Payments

Project fees and payment milestones are set out in your agreement or SOW. Subscription fees are payable in advance for each billing cycle. All prices are exclusive of GST and other applicable taxes unless stated. Third-party charges such as Meta WhatsApp conversation fees and telephony costs are billed as described in your plan.

If a payment is late, we may pause work or suspend access until it is cleared. Refunds are covered by our Refund & Cancellation Policy.

07Warranties and limitation of liability

Except as expressly stated in a written agreement, our website, services and products are provided "as is" and "as available". We do not promise they will be error free or uninterrupted, or that they will meet every specific requirement. We are not responsible for outages or policy changes by third parties such as Meta, telecom operators, payment gateways or cloud providers.

To the maximum extent allowed by law, Nexzem is not liable for indirect, incidental or consequential losses, including lost profits, revenue or data. Our total liability for any claim is limited to the amount you paid us for the specific service or subscription in the 12 months before the claim arose.

08Termination

You may stop using our website at any time and cancel subscriptions as described in our Refund & Cancellation Policy. Project agreements end as set out in that agreement.

We may suspend or terminate your access if you breach these terms, fail to pay, or use our services in a way that creates legal or security risk for us or others. On termination you can request an export of your data within a reasonable period, after which it may be deleted.

09Governing law and contact

These terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at Dehradun, Uttarakhand.
